GoldHaven Closes Non-Brokered Private Placement

Vancouver, British Columbia, December 22, 2022 – GoldHaven Resources Corp. ("GoldHaven" or the "Company") (CSE: GOH) reports that pursuant to their news release dated November 16, 2022, they have closed the non-brokered Private Placement through the issuance of 1,337,500 units for gross proceeds of $107,000 (the "Offering"). Each unit consisted of one common share of the Company and one common share purchase warrant entitling the holder to purchase an additional common share of the Company at a price of $0.12 per share (the "Warrants") for a period of 24 months from the closing of the Offering. The expiry of the Warrants may be accelerated if the closing price of the Corporation’s common shares on the Canadian Securities Exchange is equal to or greater than $0.35 for a minimum of ten consecutive trading days and a notice of acceleration is provided in accordance with the terms of the Warrants.

In connection with the Offering, Justin Canivet, CEO and Sead Hamzagic, CFO, through his company, Sead Hamzagic Inc., of the Company participated as to an aggregate $20,000.00. These transactions constituted a "related party transaction" as such term is defined under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions ("MI 61-101”). The Company is relying on the exemptions from the formal valuation and minority approval requirements under MI 61- 101. The Company is exempt from the formal valuation and minority approval requirements of MI 61-101 in reliance on sections 5.5(a) and 5.7(1)(a) of MI 61-101 as the fair market value of the transaction, insofar as it involves interested parties, is not more than the 25% of the Company's market capitalization.”

Finder’s fees were paid to Canaccord Genuity Corp. ($560.00 and 7,000 finders warrants) and Haywood Securities Inc. ($1,400.00 and 17,500 finder’s warrants).

All securities issued in connection with the Offering have a four-month and one day hold period in Canada expiring on April 23, 2023.

Net proceeds of the Offering will be used for general working capital.

Pat’s Pond is located less than 20km from Marathon Gold’s 3.14 Moz2 Valentine Gold Project and on strike from the Boomerang/Domino VMS deposit. Pat’s Pond is highly prospective for gold, copper, silver and zinc and has large scale discovery potential. GoldHaven engages proactively with local and Indigenous rights holders and seeks to develop relationships and agreements that are mutually beneficial to all stakeholders.
