GoldHaven Closes Non-Brokered Private Placement

Vancouver, British Columbia, February 15, 2024 – GoldHaven Resources Corp. ("GoldHaven" or the "Company") (CSE: GOH) reports that pursuant to their news release dated January 30, 2024, they have closed the non-brokered Private Placement through the issuance of 4,381,375 units at $0.06 per unit for gross proceeds of $262,882.50 (the "Offering"). Each unit consisted of one common share of the Company and one common share purchase warrant entitling the holder to purchase an additional common share of the Company at a price of $0.09 per share (the "Warrants") for a period of 36 months from the closing of the Offering.
In connection with the Offering, several insiders of the Company participated including W. Scott Dunbar and Gordon Ellis both directors of the Company as well as officers Bonn Smith, Sead Hamzagic through his Company, Hazmagic Holdings Inc. and Marla Ritchie, all participated as to an aggregate $97,602.00. These transactions constituted a "related party transaction" as such term is defined under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions ("MI 61-101”). The Company is relying on the exemptions from the formal valuation and minority approval requirements under MI 61- 101. The Company is exempt from the formal valuation and minority approval requirements of MI 61-101 in reliance on sections 5.5(a) and 5.7(1)(a) of MI 61-101 as the fair market value of the transaction, insofar as it involves interested parties, is not more than the 25% of the Company's market capitalization.
Finder’s fees were paid to Canaccord Genuity Corp. ($2,100 and 35,000 finders warrants).
All securities issued in connection with the Offering have a four-month and one day hold period in Canada expiring on June 16, 2024.
Net proceeds of the Offering will be used for general working capital.
